BITFLIX END-USER LICENSE AGREEMENT

1. General Provisions

1.1. By accessing the Website, you are provided with the license to use the Website per se as well as the License within the meaning of the Terms. The Company hereby grants you all the necessary rights to move along the Website within the set constraints and to Rent or Purchase the Movies within the set constraints, both set up by the Contract of Use, to the extent and under the conditions stipulated within this End-user License Agreement.

1.2. The Company holds all intellectual property rights over the Movies as well as the content of the Website within the Bitflix project to grant you the license to use the Website per se as well as to grant you the License.

1.3. Without our written permission, you may not use any of it for any commercial use, including to register any domain names or social media accounts using any Company’s intellectual property.

2. Usage of the Website

2.1. The Website can be used to its full extent only upon proper registration (see the Terms), for personal, non-business purposes and in accordance with the Terms, with any instructions and requirements of the Company, as well as in accordance with generally binding legal regulations, in particular in the field of intellectual property rights.

2.2. Without registration, you can only be a passive visitor to the Website and use only freely available or unlocked content, if any.

2.3. You may not share the content of the Website or otherwise allow access to persons outside your household. For these purposes, a household is understood to be persons who permanently live together at the same address and manage the common affairs.

2.4. You are not authorized in particular:

• - in any way to copy, distribute, separate parts of the Website;
• - to create derivative works of the Website or the Movies;
• - to translate and reproduce the source code, name or designation of the author and executor of copyright;
• - to transfer or assign the rights to use the Website or the Movies;
• - to provide third parties with the right forming part of the granted license to use the Website (to grant a sublicense);
• - resell, license, rent, or lend access to the Website or its parts in any way;
• - convert the Website into source code and/or otherwise attempt to obtain its source code beyond the scope stipulated by law;
• - machine-mine the database of the Website in any way;
• - act in connection with the Website in violation of legal regulations, good morals, public order and restrict the exercise of the rights of third parties, i.e. in particular write, place or insert defamatory, vulgar or otherwise objectionable content into the Website.

2.5. Any action in violation of the previous article is subject to active filtering and actions by the Company. Given the impossibility of systematic control, content is filtered only after prior notification to the email address stated on the Website or as part of the Company's own activities.

2.6. You are obliged in particular to:

• - refrain from any decompilation, modification, processing or other changes to the Website or its parts or databases included or used therein, including for the purpose of removing defects;
• - refrain from any action that would result in the development of derivative applications or works for use or distribution to any third party, in whole or in part, as separate products or components, when using the Website.

2.7. Any data entered by you into the Website database is part of the Company's database without any rights to the database itself on your part. By concluding a Contract of Use, you grant a territorially unlimited authorization to use and permission to intervene in the data and content provided by you for the purposes of operating the Website, analysis and statistics.

3. Usage of the Movies and the NFTs

3.1. For the avoidance of any doubt, your Ownership of the NFT, including the License, does not grant you any right over the underlying artwork (neither the copyright, nor other industrial property rights). Nothing in the Terms or this License will be interpreted to grant you any rights to any copyright or other industrial property rights belonging to the Company.

3.2. The right to use the Movie is granted to you:

• a. royalty-free;
• b. as an exclusive right;
• c. for the time duration set by the Website when Renting or Purchasing the Movie;
• d. for the whole world, with no territorial restrictions;
• e. only for your own personal, non-commercial use.

3.3. The right to use the Movie is granted to you solely for the following ways of use (the code of enabled conduct):

• a. for watching and streaming the Movie on the Website without any interaction with the Movie above the options set by the Company and allowed within the Bitflix platform;
• b. for additional actions related to the Movies (reviews, valuations, etc.) within the options set by the Company and allowed within the Bitflix platform.

3.4. Within the limits of the License, you especially may not (the code of prohibited conduct):

• a. profit from, otherwise commercialise [which means any activity that is performed with the intent to generate revenue, such as sale or transfer of items (including NFTs) on any marketplaces, exchanges, platforms, or applications in association with an offer to sell, or trade, creating and selling merchandise, inclusion in physical or digital media, or display within decentralised virtual environments, virtual worlds (metaverses), virtual galleries, virtual museums, or other navigable and perceivable virtual environments, including simultaneous display of multiple copies of the Movies or NFTs within one or more virtual environments], fractionalize, or license/sublicense the Movie and/or the NFT, including in connection with the marketing, advertising, or selling of any third-party product;
• b. use the Movie except as incorporated in the NFT, for recordings, in other movies, videos, or any other form of media or encourage or allow any third party to do so;
• c. use the Movie to create additional assets, NFTs and NFT projects or collections, and/or to create derivative works of the Movie and/or the NFT, modify, distort, or make any other changes to the Movie and/or the NFT in any way or combine the Movie and/or the NFT with, or embed the Movie and/or the NFT or into, any digital or other content or media;
• d. use the Movie and/or the NFT in any manner which infringes upon the rights of any person or legal entity;
• e. use the Movie and/or the NFT in connection with or to promote any illegal activity, intolerance, hatred, cruelty, hate speech, violence, inappropriate or obscene content, or in any other manner which could tarnish or harm the reputation of the Company and affiliate persons.

3.5. You may choose not to use the License within the chosen timeframe for which the Rent or Purchase is limited. The lack of use will not allow the Company to withdraw from the License; the lack of use will not entitle you to claim the restitution of the Rent payment or Purchase payment nor any part of it.

3.6. The License will automatically terminate if:

• a. the chosen timeframe passes;
• b. you breach any provision of the Contract of Use, the Terms and the Smart Contract, including, but not limited to the code of prohibited conduct set above for the Usage of Website;
• c. you use the Movie in breaching of the terms of the License; and/or
• d. you engage in unlawful activities related to the NFT and copyright in any jurisdiction.

3.7. As we may collaborate with third parties to create Movies, to place them on the Website and to create NFTs which include artwork, images, works of authorship, logos, trademarks, service marks, or other commodities owned by a third party, the License does not extend to any such a third-party content, and you may not use such a content based on this third-party content, or any portion thereof (such a situation would be mentioned within the Movie description).
